Terms Of Use
Last updated 23 September 2026
The short version
This summary is here so you actually know what you are agreeing to. It is not part of the agreement, and if anything in it conflicts with the terms below, the terms below apply.
If you are an artist
-
You keep your rights. Nexera does not take ownership of your recordings, your songs, your artwork or your name. We take only the licence we need to host your work, preview it, stream it, deliver it to the fans who buy it, and promote it on the platform.
-
Upload only what you own or control. That includes samples, interpolations and cover versions. Nexera does not hold a blanket licence from APRA AMCOS or any other collecting society, and we do not clear anything on your behalf. If you need a licence for something, you need to have it before you upload.
-
You are the seller. When a fan buys from you, the contract is between you and that fan. Nexera runs the shop - the storefront, the checkout, the delivery of files. You are responsible for describing your products accurately, shipping physical items and honouring your customers' rights.
-
Nexera takes 20% of the sale price. The rest goes to your Stripe account. There is no monthly fee, no listing fee and no minimum commitment.
-
Your fan data is yours to take. Orders, sales reports, insights and your fans' contact details can all be exported from Backstage. The moment you download it, looking after it lawfully becomes your job - and you can never sell or rent it.
-
You can leave. Ask us and we will close your storefront and help you wind things down cleanly - there are usually orders in transit, fans with access and a final payout to settle. Your catalogue and your data are yours to export any time, whether you are leaving or not, and you do not need our help to do it.
If you are a fan
-
Buying gives you a licence to listen, watch and access, not ownership of the recording or the song. Anything physical you buy is yours outright.
-
The artist gets your details. When you buy from an artist, they receive your name, your email address, your delivery address for physical items, and a record of what you bought. That is how a direct-to-fan store works - you are buying from the artist, not from us. They have to handle your information lawfully and they can never sell it.
-
Some things are time-limited. Drops, sales windows and exclusive access periods are shown on the product page before you buy.
-
You have consumer rights we cannot take away. In Australia the Australian Consumer Law applies; in New Zealand the Consumer Guarantees Act applies. Nothing in these terms overrides them.
-
You can unsubscribe from any artist at any time, and from us.
-
Where a download is included, take it and keep your own copy, because access on the platform can end if an artist removes something or we receive a valid infringement complaint.
-
There is no forced arbitration here and no class action waiver. If something goes wrong you can talk to us, go to a tribunal, or complain to a regulator.
Part I - Terms for everyone
Sections 1 to 21 apply to every user of Nexera, including fans, artists, labels and anyone browsing the platform.
1. About Nexera and these terms
1.1 Who we are. Nexera Music is operated by Moore Universe Pty Ltd (ACN 700 739 180) doing business as Nexera Music of Suite 1186, 189 Queen Street, Melbourne CBD, VIC 3000, Australia (“Nexera”, “we”, “us”, “our”). We operate the website at nexera.music, together with any related storefronts, subdomains, applications and services (the “Platform”).
1.2 What Nexera is. Nexera is an online store. It sits between an artist and the people who want to buy from them. Artists - and the labels, managers and representatives authorised to act for them (“Artists”) - open a storefront, list music, merchandise, exclusive content, access passes and events (“Products”), and sell them directly to members of the public (“Fans”). We also provide community, messaging, marketing and analytics tools that support those sales.
1.3 What Nexera is not. Nexera is not a streaming service and is not a digital service provider. There is no subscription, no advertising-funded tier, no catalogue-wide listening and no algorithmic radio. Nothing on the Platform can be listened to in full without buying it. We are also not a record label, a music publisher, a rights administrator, a distributor, a promoter, or a party to the contract of sale between an Artist and a Fan, except where these terms say otherwise or where the law treats us as the supplier.
1.4 Where we operate. Nexera is based in Australia. Artist accounts are available to Artists based in Australia and New Zealand. Fans may buy from anywhere the Platform is accessible, subject to the Artist's own delivery and availability settings.
1.5 The agreement. These Terms of Use, together with the Nexera Privacy Policy and any additional policy or product terms we publish and refer to in them, form the agreement between you and Nexera (the “Terms”). By creating an account, placing an order, uploading content, or otherwise using the Platform, you agree to the Terms.
1.6 Structure. Part I applies to everyone. Part II applies to Artists in addition to Part I. If Part II conflicts with Part I in relation to an Artist, Part II prevails.
1.7 Interpretation. These Terms are written in English; any translation is for convenience and the English version prevails. Headings are for convenience only. “Including” and similar words are not words of limitation. A reference to legislation includes any amendment or replacement of it. Dollar amounts are in Australian and/or New Zealand dollars unless stated otherwise.

3. Eligibility, accounts and access
3.1 Minimum age. You must be at least 16 years old to hold a Fan account and at least 18 years old to hold an Artist account or receive payouts. If you are under 18, you must have the consent of a parent or guardian, and by using the Platform you confirm you have it.
3.2 Registration. Fan accounts are created using an email address and a one-time login code. You must provide accurate information and keep it current. You are responsible for everything that happens through your account, and you must tell us promptly at support@nexera.music if you believe someone else has accessed it.
3.3 One person, one account. You must not create an account in someone else's name, impersonate any person or entity, use an account handle you have no right to use, or hold multiple accounts to evade a restriction we have applied.
3.4 Acting for an entity. If you use the Platform on behalf of a company, band, partnership, label or other organisation, you warrant that you are authorised to bind it, and “you” in these Terms means both you and that organisation.
3.5 Our discretion. We may decline to open an account, and we may apply verification requirements before approving an Artist account. We will not do so arbitrarily, and we will tell you the reason unless we are legally prevented from doing so.
3.6 Electronic acceptance. Clicking to accept these Terms, or using the Platform, has the same effect as a signature under the Electronic Transactions Act 1999 (Cth) and the Contract and Commercial Law Act 2017 (NZ).
3.7 Closing your account. Fans may close their account at any time through your account settings or by contacting us. Artist accounts are closed through the process in clause 38.3, because a storefront closure affects Fans who have bought from the Artist. Clause 20 explains what happens next.
4. Changes to these terms
4.1 When we can change them. We may change these Terms to reflect changes to the Platform, our fees, our service providers, or the law, or for any other reasonable business purpose.
4.2 Notice. We will give you at least 30 days' written notice by email and on the Platform before a change that materially and adversely affects you takes effect. Other changes take effect when published.
4.3 Your right to leave. If you do not accept a change, you may close your account before it takes effect at no cost. If you have prepaid for anything you have not yet received, we will refund the unused portion. If you are an Artist, it is enough that you ask us to close your storefront before the change takes effect - the change will not apply to you from that date even if the closure process in clause 38.3 is still being completed. Continuing to use the Platform after a change takes effect means you accept it.
4.4 No retrospective effect. A change does not apply to an Order already placed, to content already delivered, or to a dispute that arose before the change took effect.
5. Privacy and communications
5.1 Privacy Policy. Our Privacy Policy explains what personal information we collect, how we use it, who we share it with and how you can access or correct it. We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, and the Privacy Act 2020 (NZ) and the Information Privacy Principles. Please read it - it forms part of these Terms.
5.2 Transactional messages. When you place an Order or use your account, we will send you service messages such as login codes, receipts, delivery notices and security alerts. These are part of the service and you cannot opt out of them while your account is open.
5.3 Marketing from Nexera. We will only send you marketing where you have consented. Every marketing message includes a working unsubscribe link, and we will action an unsubscribe within five working days, as required by the Spam Act 2003 (Cth) and the Unsolicited Electronic Messages Act 2007 (NZ).
5.4 Artists receive your details. This is important, so we want to be plain about it. When you buy from an Artist, that Artist receives your name, your email address, your phone number if you gave us one, your delivery address where the Product is physical, and a record of what you have bought from them. They can view this in Backstage and download it. They receive this because you are buying from them - Nexera is the shop, but the Artist is the seller, and they need it to fulfil your order, provide customer service and stay in contact with the people who support them.
5.5 What Artists must do with it. Artists are bound by clause 31, which requires them to handle your information lawfully, to use it only for fulfilling orders, customer service and marketing you have consented to, to honour your unsubscribe, correction and deletion requests, and never to sell, rent or trade it. Breaching that clause is a serious breach of these Terms.
5.6 What we cannot do once it is downloaded. Once an Artist has downloaded your information, it sits outside the Platform and we cannot retrieve, correct or delete it for you. If you want it deleted, tell us and we will pass your request to the Artist and delete our own copy, but you may also want to contact the Artist directly. Clause 5.7 tells you how.
5.7 Making a privacy request. Email privacy@nexera.music to access, correct or delete the personal information we hold about you, or to complain about how it has been handled. You can also complain to the Office of the Australian Information Commissioner or, in New Zealand, the Office of the Privacy Commissioner.
5.8 Overseas storage. The Platform and its service providers store data in Australia and, for payments, email and content delivery, in other countries. Our Privacy Policy identifies these disclosures for the purposes of Australian Privacy Principle 8 and Information Privacy Principle 12.
6. How transactions work
6.1 The Artist is the seller. Each Order is a contract between you and the Artist. The Artist is the seller of record and is responsible for the Product, its description, its delivery and any warranty or guarantee attaching to it.
6.2 Our role. Nexera provides the storefront, the checkout, payment collection, digital delivery, access control, receipts and first-line customer support. We act as the Artist's limited agent for the purpose of collecting payment from you, and payment to us discharges your obligation to pay the Artist.
6.3 No transfer of title to us. Nexera never takes title to any Product. We do not buy Products from Artists and we do not resell them. We do not manufacture, warehouse or ship physical goods.
6.4 Where the law says otherwise. Nothing in this clause 6 limits any liability that Australian or New Zealand law imposes on us directly, including where a marketplace operator is treated as the supplier of a good or service for consumer law or tax purposes.
7. Prices, payment and tax
7.1 Prices. Artists set their own prices. The price shown at checkout, including any tax and delivery charge, is the price you pay.
7.2 Currency. Prices are charged in the currency shown at checkout. Where the Platform displays an approximate price in your local currency, that figure is indicative only; the amount debited by your bank or card issuer will depend on their exchange rate and any fees they charge.
7.3 Tax. Prices include goods and services tax where GST applies. Depending on the nature of the supply and the location of the buyer and seller, GST may be payable by the Artist or by Nexera. Your receipt will show the tax charged.
7.4 Payment processing. Payments are processed by Stripe. We do not store your full card details. Your use of Stripe's services is subject to Stripe's own terms.
7.5 Failed and reversed payments. If a payment fails, is reversed, or is later found to be fraudulent or unauthorised, we may cancel the Order and withdraw access to anything delivered under it.
7.6 Pricing errors. If a Product is listed at an obviously incorrect price and you could not reasonably have believed it was genuine, we or the Artist may cancel the Order and refund you in full.
8. What you get when you buy
8.1 A licence, not ownership. When you buy a Digital Product you receive a personal, non-exclusive, non-transferable, non-commercial licence to access, stream, download (where the Artist has enabled downloads) and enjoy that content for the Access Period. You do not acquire ownership of the sound recording, the musical work, the artwork or any other underlying right.
8.2 Physical goods. Any Physical Product you buy is yours outright once it is delivered to you.
8.3 Downloads. Not every Product includes a download. Where downloads are enabled, you may download files to your own devices for personal, non-commercial use. You must not redistribute, upload, share, sell or publicly perform them, and you must not remove or alter embedded metadata, copyright notices or watermarks.
8.4 Access Periods, Drops and Sales Windows. Some Products are available only during a Sales Window, become available only at a scheduled time, or grant access only for a stated Access Period. The Platform shows you these details before you buy. Where an Artist has designated a download as permanent, your right to keep the downloaded file continues after the Access Period ends.
8.5 Bundles and Exclusive Content. Where a Bundle includes access to Exclusive Content, community features or chat, that access lasts for the period stated on the product page and may end if your Order is refunded or reversed.
8.6 Gifts. You may buy a Product as a Gift by supplying the recipient's email address. By doing so you confirm you have their permission to give it to us and that they meet the age requirement in clause 3.1. An unclaimed Gift expires after 90 days, and we will refund the purchaser if it is not claimed.
8.7 Replacement copies. If a file you have bought is corrupt, incomplete, in the wrong format, or you lose it, contact us and we will redeliver it at no charge. No further payment is due to the Artist for a redelivery.
8.8 When access can end. Access to purchased content is not guaranteed to last forever. It may end if the Artist removes the content, if we receive a valid infringement complaint, if a court or regulator requires it, if the Artist's account is closed, or if a third-party service we rely on becomes unavailable. Where downloads are enabled, we strongly encourage you to download and keep your own copy.
8.9 If access ends. If access to something you bought ends for a reason within our control within 12 months of your purchase, you may be entitled to a refund. This clause does not limit your rights under clause 10.
9. Community features and acceptable use
9.1 Community Feed and Fan Chat. Posts you make in a Community Feed or Fan Chat are visible to the Artist and to other Fans with access. Treat them as public. Do not post anything you would not want other people to see.
9.2 What you must not do. When using the Platform you must not:
-
break the law, facilitate fraud, or breach any sanctions regime;
-
infringe anyone's intellectual property, moral rights, privacy or rights of publicity;
-
post content that is unlawful, defamatory, obscene, harassing, threatening, or that encourages self-harm, violence or discrimination against any person or group;
-
share another user's personal information without their consent;
-
impersonate any person, artist or organisation;
-
send spam, unsolicited promotions, or content unrelated to the community you are posting in;
-
use the Platform to arrange transactions off-platform for the purpose of avoiding fees;
-
artificially inflate sales or engagement data, including by wash trading, self-purchasing at scale, or coordinated purchasing designed to distort reporting;
-
scrape, data-mine, crawl or use bots on the Platform, or reverse engineer, decompile or interfere with it;
-
circumvent any access control, watermark, rate limit or paywall, or capture content by any means other than the functions we provide; or
-
introduce malware, or interfere with the Platform's operation or another user's access.
9.3 Moderation. We do not pre-screen content. We may remove content, restrict features, suspend or close an account, or refuse to publish something, where we reasonably consider it breaches these Terms or the law. Where practicable we will tell you why and give you a chance to respond.
9.4 Reporting. You can report content or conduct to us at support@nexera.music. We will review reports within a reasonable time. If you are in Australia and are not satisfied with our response to a complaint about seriously harmful content, you may complain to the eSafety Commissioner.
10. Your rights under Australian and New Zealand consumer law
10.1 Australia. If you acquire goods or services from the Platform as a consumer within the meaning of the Australian Consumer Law, you have guarantees that cannot be excluded, restricted or modified. Nothing in these Terms operates to exclude, restrict or modify those guarantees, and to the extent any provision of these Terms would do so, it does not apply to you.
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with a service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time and, if this is not done, to cancel the contract and obtain a refund for the unused portion of the contract. For goods, you are entitled to a replacement or refund for a major failure, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
10.2 New Zealand. If you acquire goods or services as a consumer within the meaning of the Consumer Guarantees Act 1993 (NZ), that Act's guarantees apply and nothing in these Terms limits them. The Fair Trading Act 1986 (NZ) also applies to our conduct and to Artists' conduct.
10.3 Business and trade use. If you acquire goods or services for the purposes of a business, the Consumer Guarantees Act 1993 (NZ) does not apply to the extent permitted by section 43 of that Act, and the limitations in clause 18 apply to the full extent the law allows. Both you and we agree this exclusion is fair and reasonable.
10.4 Where we may limit liability. Where our liability for failing to comply with a consumer guarantee may lawfully be limited, our liability is limited, at our option, to resupplying the relevant goods or services or paying the cost of having them resupplied.
11. Refunds, cancellations and chargebacks
11.1 Change of mind on digital purchases. Digital Products are delivered immediately, so we do not offer change-of-mind refunds on them. This does not affect your rights under clause 10.
11.2 Faulty, misdescribed or undelivered products. If something you bought does not arrive, does not work, or is not what was described, contact us at support@nexera.music. We will work with the Artist to resolve it, and where a consumer guarantee has not been met you are entitled to the remedies the law provides.
11.3 Physical products. The Artist is responsible for fulfilment, delivery and returns. Returns must comply with the Australian Consumer Law and the Consumer Guarantees Act.
11.4 Events and experiences. If an Artist cancels an event, you are entitled to a refund of the price paid. The Artist is responsible for organising, running and insuring the event.
11.5 Talk to us before your bank. If something goes wrong, please contact us before raising a dispute with your bank or card issuer, so we can try to fix it. Where a chargeback is dishonest or abusive, we may suspend your account and recover the amount reversed together with any fee charged to us.
12. User Content
12.1 You keep ownership. You own the User Content you post. Posting it does not transfer ownership to us.
12.2 The licence you give us. You grant Nexera a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, adapt (only as needed for formatting and delivery), display and distribute your User Content, and to sublicense these rights to the service providers we use to run the Platform, for the purpose of operating, improving and promoting the Platform.
12.3 How long that licence lasts. The licence ends when you delete the User Content or close your account, except for copies retained in routine backups, copies already distributed to other users, and any material we are legally required to keep.
12.4 Moral rights. To the extent permitted by Part IX of the Copyright Act 1968 (Cth) and Part 4 of the Copyright Act 1994 (NZ), you consent to acts or omissions by us and our sublicensees that would otherwise infringe your moral rights, including reproducing your work without attribution in interface elements, and cropping, resizing, transcoding or compressing it for delivery. This consent is genuinely given and is not a condition of any payment.
12.5 Your warranties. You warrant that you own or are licensed to post your User Content, that it does not infringe anyone's rights, that you have any consent needed to use another person's name, image or voice, and that no payment will be owed to any third party because of it.
12.6 Removal. We may remove User Content that breaches these Terms or the law.
13. Intellectual property and copyright complaints
13.1 Our intellectual property. The Platform, the Nexera name and logo, the software, the interface and everything we create belong to us or our licensors. Nothing in these Terms gives you any right to use them beyond using the Platform as intended.
13.2 Making a complaint. If you believe content on the Platform infringes your copyright, email copyright@nexera.music with: details of the work you say is infringed; the location of the infringing content, including the URL; a statement that you believe in good faith the use is not authorised; a statement that the information you have given is accurate and that you are the owner or authorised to act for the owner; your contact details; and your signature.
13.3 What we do. Where a complaint appears valid, we will act promptly to remove or disable access to the content and will notify the person who posted it. We may also disable access for anyone who previously bought it, in which case clause 8.9 applies.
13.4 Counter-notice. If your content was removed and you believe that was a mistake, email copyright@nexera.music with details of the content, the reasons you believe the removal was in error, your contact details and your signature. We will consider each case on its merits and may restore the content.
13.5 False complaints. Making a copyright complaint you know to be unfounded may expose you to liability, including under section 202 of the Copyright Act 1968 (Cth), which creates a cause of action for groundless threats of infringement proceedings.
13.6 Repeat infringers. We will suspend or close the account of anyone who repeatedly infringes copyright.
14. Artificial intelligence
14.1 Our commitment to you. Nexera will not use Artist Content or User Content to train generative artificial intelligence models that produce music, audio, video or visual art, and will not permit our service providers to do so, without the express permission of the rights holder. This does not prevent us from using aggregated, de-identified usage data to improve the Platform's own features, such as search and recommendations.
14.2 We do not detect AI content. Nexera does not screen, detect, verify or label content according to whether it was made using artificial intelligence. We have no reliable way of doing so and we do not claim to. Anything said about how a Product was made comes from the Artist, not from us, and we have not checked it.
14.3 Artists must tell Fans. If the main elements of a recording - the composition, the vocals, the lyrics or the instrumentation - were substantially generated by an artificial intelligence system rather than created by a person, you must say so clearly and prominently in the product description, on your storefront, and anywhere else you describe or promote the Product. Using AI in a supporting role - mixing, mastering, stem separation, noise reduction, artwork clean up - does not require disclosure.
14.4 Why this is not just our rule. Selling AI generated music as though a person made it is capable of misleading or deceptive conduct under section 18 of the Australian Consumer Law, and a false or misleading representation about the nature or composition of goods under section 29. Sections 9 and 13 of the Fair Trading Act 1986 (NZ) do the same work in New Zealand. Neither country currently has an AI-specific labelling statute, so the general consumer law applies, and it applies to you as the seller of the Product.
14.5 AI and ownership - read this before you upload. Whether you can own an AI-generated recording is different in each of our two markets. In Australia, copyright requires a human author, so a work generated substantially by an AI system may attract no copyright at all, and nobody owns it. In New Zealand, section 5(2)(a) of the Copyright Act 1994 treats the person who made the arrangements necessary for a computer-generated work as its author, so protection may exist there. This matters because clause 24.1 requires you to warrant that you own or control every right needed. If nobody owns the work, you cannot give us that warranty and you should not list it. Where you have used AI as a tool alongside your own creative input, keep a record of what you contributed - it is the human contribution that carries the copyright.
14.6 No Impersonation. You must not upload content that clones or imitates the voice, likeness or artistic identity of a real person without the person’s written consent, or that is presented in a way likely to mislead Fans about who made it. As well as breaching these Terms, doing so may expose you to liability for misleading conduct, passing off, breach of performer’s rights under the Copyright Act 1968 (Cth), and, in Australia, the statutory tort for serious invasions of privacy.
14.7 Enforcement. If you fail to disclose, or you misrepresent how a Product was made, we may remove the content, withhold or reverse payouts attributable to it, refund affected Fans at your cost, and suspend or close your account. Clause 37 applies.
14.8 If we build disclosure tools. We may introduce a disclosure field, a label, or a verification step in future. If we do, you must use it and keep the information you give accurate. Until then, the product description is where disclosure in clause 14.3 belongs.
15. Third-party services
15.1 Who we rely on. The Platform depends on third-party services including Stripe for payments and identity verification, and providers of data hosting, video delivery, email and web infrastructure. Where you interact with those services directly, their own terms apply.
15.2 Links. The Platform may link to other websites. We do not control them and we are not responsible for their content.
15.3 Risks you should understand. Access to content may be time-limited; Artists may remove content or close their storefronts; events may be cancelled; third-party services may suffer outages; and changes in law may affect what we can offer. Clause 18 sets out how liability is allocated, subject always to clause 10.
16. Suspension and termination
16.1 By you. You may close your account at any time. Fans can do this in account settings. Artists should follow clause 38.3.
16.2 By us. We may suspend or close your account, or remove content, if you materially breach these Terms, if we are required to by law, if we reasonably suspect fraud or unlawful activity, or if continuing to provide the service to you would expose us or another user to real risk of harm or liability.
16.3 Notice. Except where the breach is serious, where we must act immediately to protect someone, or where the law prevents us, we will give you notice, tell you why, and give you a reasonable opportunity to fix the problem before we act.
16.4 What happens to what you bought. If we close your account we will use reasonable efforts to preserve your access to Products you have already paid for, unless the reason for closure is fraud or the content itself has been removed.
16.5 Survival. Clauses that by their nature should survive termination do so, including clauses 10, 12.3, 13, 17, 18, 19, 21, 31 and 37.
17. Indemnity
17.1 What you cover us for. You agree to indemnify Nexera and its officers, employees and contractors against loss, liability, cost and expense (including reasonable legal costs) that we suffer to the extent it arises from your breach of these Terms, your unlawful conduct, or a third-party claim that your User Content or Artist Content infringes their rights.
17.2 What it does not cover. This indemnity does not apply to the extent the loss was caused or contributed to by our own breach, negligence or unlawful act, and it is reduced proportionately to the extent we failed to take reasonable steps to mitigate.
17.3 Conduct of claims. We will notify you promptly of any claim we intend to seek indemnity for, and will not settle it without your consent, which you must not unreasonably withhold.
18. Liability
18.1 Subject to your consumer rights. This clause is subject to clause 10 and does not limit any liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence, for fraud, or under a consumer guarantee that cannot be excluded.
18.2 As available. To the extent permitted by law, the Platform is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted, error-free or secure, that defects will be corrected, or that analytics and insights displayed in Backstage are accurate or complete.
18.3 Consequential loss. To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data, however arising.
18.4 Cap. To the extent permitted by law, our total aggregate liability arising out of or in connection with these Terms is limited to the greater of the total amount you paid to Nexera in the 12 months before the event giving rise to the liability, and A$500.
18.5 Your contribution. Our liability is reduced to the extent your own act or omission, or that of someone acting on your behalf, caused or contributed to the loss.
18.6 Disputes between users. If you have a dispute with another user, that dispute is between you and them. To the extent permitted by law, you release us from claims arising out of it. This does not prevent you from asking us for help, and clause 11 sets out what we will do.
19. Disputes
19.1 Talk to us first. If you have a problem, contact us at support@nexera.music. We will acknowledge your complaint within five business days and try to resolve it within 30 days.
19.2 Mediation. If we cannot resolve a dispute within 30 days, either of us may refer it to mediation administered by the Resolution Institute in Melbourne, or in Auckland if you are in New Zealand, under its standard mediation rules. Each party bears its own costs and half the mediator's fee.
19.3 What this does not stop you doing. Nothing in this clause prevents either of us from seeking urgent injunctive relief, and nothing prevents you from taking a claim to the Victorian Civil and Administrative Tribunal, a New Zealand Disputes Tribunal, or a court, or from complaining to the Australian Competition and Consumer Commission, your state or territory fair trading agency, the New Zealand Commerce Commission, the Office of the Australian Information Commissioner or the New Zealand Privacy Commissioner.
19.4 Governing law. These Terms are governed by the laws of Victoria, Australia. Both of us submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.
19.5 New Zealand users. If you are in New Zealand, nothing in clause 19.4 deprives you of the protection of New Zealand law that cannot be contracted out of, including the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, or of your right to bring proceedings in a New Zealand court or tribunal.
19.6 No forced arbitration. Nothing in these Terms prevents you from participating in a representative or class proceeding, or requires you to arbitrate a dispute.
20. What happens when things end
20.1 Your data. You may export your account data before closing your account. After closure we will delete or de-identify your personal information in accordance with our Privacy Policy, except where we must keep it for legal, tax or fraud-prevention reasons.
20.2 Data already exported by an Artist. If an Artist has already exported information about you, closing your Nexera account does not delete that copy. Clauses 5.6 and 31 explain what the Artist must do with it and how to make a request directly to them.
20.3 Outstanding money. Closing an account does not affect money owed either way.
20.4 Artist storefronts. Clause 38 sets out what happens to an Artist's storefront, catalogue and Fan relationships.
21. General
21.1 Notices. We will send notices to the email address on your account. You should send notices to legal@nexera.music. A notice is taken to be received on the day it is sent, unless it bounces.
21.2 Assignment. You may not transfer your rights under these Terms without our consent. We may assign our rights and obligations to a successor in connection with a sale or reorganisation of our business, provided your rights are not materially prejudiced.
21.3 No agency or partnership. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship, except for the limited payment collection agency described in clause 6.2.
21.4 Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control, provided it takes reasonable steps to mitigate and resumes performance as soon as it can.
21.5 Severability. If a provision is unenforceable, it is read down to the extent necessary or severed, and the rest of the Terms continue to operate.
21.6 Waiver. A failure to enforce a right is not a waiver of it.
21.7 Entire agreement. These Terms, the Privacy Policy and any additional terms we incorporate are the entire agreement between us about the Platform, and replace any earlier understanding.
21.8 No unfair reliance. We will not rely on any provision of these Terms in a way that is unfair, unconscionable or contrary to the Australian Consumer Law or the Fair Trading Act 1986 (NZ).
Part II - Additional terms for artists and labels
Sections 22 to 39 apply to Artists, in addition to Part I. “You” in this Part means the Artist and, where an account is held by a band, label, management company or other entity, that entity and each person authorised to use the account.
22. Becoming an Artist on Nexera
22.1 Application and approval. Artist accounts are subject to review before your storefront goes live. We may ask you to verify your identity, your rights to the material you intend to sell, and your relationship to any artist you propose to represent.
22.2 Where you must be based. Artist accounts are currently available to Artists based in Australia and New Zealand.
22.3 Our discretion. We may decline an application or defer approval. We will not do so arbitrarily and will tell you the reason unless we are legally prevented from doing so.
22.4 Who can hold an account. You must be at least 18 years old, and you must be either the recording artist, a member of the group, or a person or entity with written authority to act for them.
22.5 Keeping your account current. You must keep your contact, payout, tax and rights information accurate, and tell us promptly if your rights to any Artist Content change, expire or are revoked.
23. Your content and the licence you grant us
23.1 You keep everything. You retain ownership of your recordings, compositions, artwork, name, likeness and trade marks. Nexera acquires no ownership interest in any of them.
23.2 The licence you grant. You grant Nexera a non-exclusive, royalty-free, worldwide licence, for the term of your account, to do the following in connection with operating the store and delivering your Products to Fans:
-
host, store, reproduce, encrypt, transcode and technically process your Artist Content, including generating audio previews, thumbnails, trailers and streaming manifests;
-
stream and make available your Artist Content to Fans who have purchased it, and deliver downloads where you have enabled them;
-
make short previews of your Artist Content publicly available on your storefront so that Fans can hear a sample before buying;
-
create clips and promotional assets from your Artist Content for the purpose of marketing your Products and the Platform;
-
display and use your name, artist name, biography, photographs, artwork, logos and trade marks to identify and promote you and your Products on the Platform and in Nexera's own marketing channels; and
-
sublicense the above rights to the service providers we use to run the Platform, solely to the extent necessary for them to provide their service.
23.3 How long it lasts. The licence ends when you remove the relevant Artist Content or close your account, except for: copies already delivered to Fans; routine backups, held for no longer than our standard retention period; promotional material already published, which we may leave in place for a reasonable period; and anything we must retain by law.
23.4 No AI training. The licence in clause 23.2 does not permit Nexera or its sublicensees to use your Artist Content to train generative artificial intelligence models, and we will not do so or allow it. See clause 14.1.
23.5 Continued access for Fans. Fans who have already purchased a Product may retain access for the Access Period you set, even after you remove the Product from sale or close your account, and you licence us to continue delivering it to them for that period.
24. What you promise us about your content
24.1 Rights. You represent and warrant that, for every item of Artist Content you upload, you either own or control one hundred per cent of the rights needed, or hold a written licence sufficient to grant the rights in clause 23.2, in every territory where you make the Product available. This applies to the sound recording and to the underlying musical work, separately.
24.2 Clearances. You represent and warrant that your Artist Content: contains no uncleared samples, interpolations, replays or quotations; is free of any lien, encumbrance or competing exclusive grant; is not subject to any agreement that prevents you granting the licence in clause 23.2; and is not the subject of pending or threatened litigation.
24.3 Third-party payments. You represent and warrant that no re-use fee, session fee, new-use payment, union or collective agreement payment, or payment to any producer, featured or non-featured performer, engineer, songwriter, publisher or other contributor, will fall due from Nexera as a result of us exercising the licence in clause 23.2. You are solely responsible for paying anyone entitled to a share of your revenue or to a royalty in respect of your Artist Content.
24.4 People. You represent and warrant that you have the consent of every identifiable person whose name, image, voice or likeness appears in your Artist Content.
24.5 Metadata. You represent and warrant that all metadata you supply about a Product is accurate and complete, including titles, artist and contributor credits, release date and genre. Some fields, including ISRC and UPC, are optional and you are not required to supply them. Where you do supply an identifier, you warrant that it is valid and has been properly assigned to that recording or release - an incorrect identifier is worse than none at all, because it attributes your work to someone else’s. We do not verify identifiers and we rely on what you give us. You will correct any metadata promptly if it changes or if you discover it is wrong.
24.6 Lawfulness. You represent and warrant that your Artist Content is not unlawful, defamatory, obscene, harassing, or in breach of any law, and does not promote discrimination or hatred against any person or group.
24.7 Evidence. You will provide documentation of your rights on reasonable request, and will cooperate with us in responding to any third-party claim about your Artist Content.
25. Rights clearance is your responsibility
25.1 Sound recordings. You license your sound recordings directly to us under clause 23.2. We do not obtain a licence for them from any collecting society, so you must hold or control the master rights yourself.
25.2 Musical works are a separate copyright. Every recording contains two copyrights: the recording itself, and the underlying musical work - the composition and lyrics. In Australia and New Zealand the rights in musical works are commonly administered by APRA AMCOS on behalf of songwriters and publishers, and a songwriter who is a member may have assigned some of those rights to their society.
25.3 Nexera holds no blanket licence. Nexera does not hold a blanket or scheme licence from APRA AMCOS, PPCA, Recorded Music NZ, or any other collecting society or rights body. We do not clear any rights on your behalf, we do not deduct or remit publishing royalties, and we do not report to any society. Everything you upload must already be cleared by you.
25.4 What that means for you. Before you upload anything, satisfy yourself that you hold every right needed for us to store it, preview it, stream it to purchasers and deliver it as a download, in every territory where you make it available. If you or a co-writer are a member of a collecting society, check what rights you have assigned and whether you are able to grant the licence in clause 23.2. If you are not sure, get advice before you upload, not after.
25.5 Accounting to others. If any royalty, fee or share is payable to a songwriter, publisher, collecting society or other rights holder as a result of a sale you make through the Platform, paying it is your responsibility, not ours.
25.6 Territories. The storefront is accessible internationally, and a Fan anywhere may be able to buy from you. You are responsible for confirming that you hold the rights needed in every territory where your Product can be bought, not only in Australia and New Zealand. If you cannot confirm that, do not list the Product.
25.7 Synchronisation. If any of your content pairs music with moving images - video, exclusive content or trailers - you are responsible for obtaining and paying for the synchronisation licence, including for any music you did not write.
25.8 Physical releases. Where you sell a CD, record, cassette or other physical item containing a musical work, the licence covering the manufacture of that item is yours to hold. In Australia and New Zealand this is generally an AMCOS manufacturing licence, taken out by you or by your manufacturer at the point of the pressing. You warrant that you hold it for every physical release you list, and that it covers the quantity you have manufactured.
25.9 Printed lyrics and artwork. Reproducing lyrics, sheet music or third-party artwork on merchandise, inserts or packaging requires separate permission from the relevant rights holder. You warrant that you have it.
25.10 Public performance of recordings. Where a Product involves the public performance of sound recordings in a physical venue, a separate licence from PPCA in Australia or Recorded Music NZ may be required. That is your responsibility.
26. Cover versions, samples and interpolations
26.1 Covers. Do not upload or list a recording of a song you did not write - in any format, digital or physical - unless you hold a written licence authorising you to reproduce and distribute it in every territory where you make it available. Verbal permission, an assumption that a compulsory or statutory licence applies, or the fact that other people have done it, is not sufficient.
26.2 How to clear a cover. In Australia and New Zealand this generally means an AMCOS licence covering the format and quantity you intend to sell, or a direct licence from the publisher. A licence that covers a physical pressing does not automatically cover digital sales, and vice versa. Check that yours covers both if you intend to sell both.
26.3 Samples and interpolations. Every sample and every interpolation requires clearance of both the sound recording and the musical work. Nexera clears nothing on your behalf.
26.4 Consequences. If we receive a credible claim that a Product infringes, we may remove it immediately, suspend payouts attributable to it, and require you to indemnify us under clause 37.
27. Pricing, fees and revenue
27.1 You set your prices. You set the price of every Product, subject to any minimum published in Backstage. You may change your prices at any time; changes apply to future Orders only.
27.2 The Platform Fee. Nexera retains 20% of the Gross Sale Price of each Order as the Platform Fee. The same rate applies to digital products, physical products and merchandise. The current rate is shown in Backstage and applies to every Order unless you have a separate written agreement with us.
27.3 Changes to the Platform Fee. We may change the Platform Fee on at least 30 days' written notice. The change applies to Orders placed after it takes effect. If you do not accept it, you may close your account before it takes effect, and we will pay out amounts already earned in the ordinary course.
27.4 Definitions used in this clause.
-
“Gross Sale Price” means the total amount paid by the Fan for the Order, excluding delivery charges collected separately and excluding GST where GST is remitted directly to a revenue authority.
-
“Processing Fees” means fees charged by Stripe or another payment provider in connection with the Order.
-
“Net Payout” means the Gross Sale Price less the Platform Fee, any Processing Fees not absorbed by the Platform Fee, any tax we are required to remit, and any refund, chargeback or adjustment.
27.5 Illustrative example. This example is for illustration only and does not vary the rates shown in Backstage.
| Item | Amount | |----------------------------------|------------------------------| | Gross Sale Price (digital album) | A$20.00 | | Less Platform Fee at 20% | (A$4.00) | | Less Processing Fees | Included in the Platform Fee | | Net Payout to Artist | A$[16.00] |
27.6 Cost of goods. The Platform Fee is calculated on the sale price, not on your margin. For physical products you should set your prices with your manufacturing, packaging and postage costs in mind.
27.7 Discounts and promotions. If you offer a discount code or promotional price, the reduction is borne by you, and the Platform Fee is calculated on the discounted price actually paid.
27.8 Refunds and chargebacks. If an Order is refunded or reversed, the corresponding Net Payout is reversed. We may deduct it from future payouts or, if there are none, invoice you for it. Where we refund a Fan because a consumer guarantee was not met by you, you bear that cost.
27.9 Set-off. We may set off any amount you owe us against any amount we owe you.
28. Payouts and Stripe Connect
28.1 You need a Stripe account. Payouts are made through Stripe Connect. You must create and maintain a Stripe Connect account, complete Stripe's identity and business verification, and keep your details current. Your relationship with Stripe is governed by the Stripe Services Agreement, to which Nexera is not a party.
28.2 How payouts work. Funds from each Order are directed to your Stripe account net of the Platform Fee and the other deductions in clause 27.4. Payout timing is set by Stripe's payout schedule for your account and country.
28.3 Currency. Your payout currency is determined by your Stripe account. Where a Fan pays in a different currency, conversion is performed by Stripe at its applicable rate, and the amount you receive will reflect that rate and any conversion fee.
28.4 Holds. We or Stripe may hold or delay a payout where there is a genuine risk of fraud, a chargeback, an unresolved consumer complaint, an infringement claim, or a legal or regulatory requirement. We will tell you why and release the funds as soon as the reason no longer applies.
28.5 Errors. If we pay you too much or too little, we may correct it by adjusting a future payout, or ask you to repay the excess.
28.6 Unclaimed money. If you do not complete Stripe onboarding, or amounts otherwise remain unclaimed, we will hold them and use reasonable efforts to contact you. Amounts that remain unclaimed are dealt with in accordance with the unclaimed money legislation that applies to us.
29. Tax
29.1 Your tax is yours. You are responsible for determining, reporting and paying any tax arising from your sales, including income tax, GST and any withholding obligation in your own country.
29.2 Registration. If you are registered for GST in Australia or New Zealand, you must tell us and provide your ABN or IRD number. If your turnover exceeds the registration threshold, you may be required to register.
29.3 Information and withholding. You must give us any information we reasonably need to meet our own tax reporting obligations. We may withhold amounts from your payouts where we are required by law to do so, and we will remit and report them as required.
29.4 No tax advice. Nothing we say about tax is advice. Get your own.
30. Your obligations as the seller
30.1 Consumer law. You must comply with the Australian Consumer Law and, where you sell to New Zealand consumers, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986. That includes honouring the consumer guarantees, providing remedies where a guarantee is not met, and not making misleading or deceptive claims about your Products.
30.2 Accurate descriptions. Everything you say about a Product must be accurate, including what is included in a Bundle, what a Fan gets access to, for how long, and when a physical item will ship. Where you have not enabled downloads, the Product is sold as stream-only access and you must not describe or market it in a way that suggests a Fan will be able to keep a copy.
30.3 Pre-orders and Drops. If you sell something before it is available, you must state a realistic expected delivery date and tell buyers promptly if it changes. Persistent failure to deliver on advertised timelines is a breach of these Terms.
30.4 Physical fulfilment. You are responsible for manufacturing, packing, shipping, insuring and tracking physical items, for customs and import obligations, and for the cost of replacing items lost or damaged in transit. You must publish a delivery and returns policy on your storefront.
30.5 Events and experiences. If you sell access to an event, you are responsible for organising and running it safely, for any permits, licences and public liability insurance required, and for refunding buyers in full if you cancel.
30.6 Customer service. Nexera provides first-line support to Fans. Where a query relates to your Product, your fulfilment or your refund policy, you must respond within three business days.
30.7 Don't strand your fans. If you intend to withdraw Exclusive Content, community access or any other ongoing benefit that Fans have paid for, you must give at least 30 days' notice through the Platform, and Fans retain access for any Access Period already paid for.
31. Fan data - what you get and what you must do with it
31.1 What you can access and export. Through Backstage you can view, report on and export data relating to your own storefront, including order records, sales and revenue reports, engagement and audience insights, and Fan Data - your Fans' names, email addresses, phone numbers where provided, delivery addresses, and their purchase history with you. Your access is scoped to your own storefront. You cannot see Fans' activity with other Artists.
31.2 It becomes your responsibility. Nexera provides this data so that you can fulfil orders, look after your customers and build a direct relationship with your audience. The moment you export it, it leaves the Platform and we lose all control over it. From that point you are independently responsible for it, including for keeping it secure, using it lawfully, and complying with the Privacy Act 1988 (Cth) or the Privacy Act 2020 (NZ), whichever applies to you, whether or not you would otherwise be covered by them.
31.3 What you may use it for. You may use Fan Data to fulfil orders, provide customer service, keep records you are required to keep, and send marketing to Fans who have consented to hear from you. You must not use it for any other purpose.
31.4 You must never sell it. You must not sell, rent, licence, trade, publish or otherwise disclose Fan Data to any third party. The only exception is a service provider acting on your instructions - for example a fulfilment partner or mailing platform - who is bound to protect it on terms at least as strict as these, and who may only use it to provide that service to you.
31.5 Marketing and consent. Consent a Fan gave to Nexera is not consent to receive messages from you outside the Platform. If you export email addresses or phone numbers and message Fans through your own systems, you need your own lawful basis, and you must comply with the Spam Act 2003 (Cth) and the Unsolicited Electronic Messages Act 2007 (NZ). That means: consent; clear identification of you as the sender with accurate contact details; and a functional unsubscribe facility, actioned within five working days. You must not use Fan Data to build or supplement a list you then use for any other artist, brand or business.
31.6 Requests from Fans. If a Fan asks you to correct or delete their information, or to stop contacting them, you must comply promptly. If a Fan makes that request to us instead, we will pass it to you and you must action it and confirm to us that you have. We will tell Fans plainly that we cannot delete data you have already exported.
31.7 Security and breaches. You must keep Fan Data secure using measures appropriate to its sensitivity. If you become aware of unauthorised access to, or disclosure or loss of, Fan Data you obtained through the Platform, you must tell us at privacy@nexera.music within 48 hours and cooperate with our assessment and any notification we are required to make under Part IIIC of the Privacy Act 1988 (Cth) or Part 6 of the Privacy Act 2020 (NZ). You must also make any notification you are required to make in your own right.
31.8 Fan Connect. You can also message Fans through Fan Connect without exporting anything. Messages you send through Fan Connect are subject to the same electronic messaging laws, and to clause 31.9.
31.9 Prohibited message content. You must not send messages that are unlawful, misleading, threatening, harassing or obscene, or that contain malware or phishing links.
31.10 Suspension of access. We may suspend or restrict your access to data export or Fan Connect if you breach this clause, if your messages generate complaint or bounce rates that threaten deliverability for other Artists, or if we are required to by our service providers or by a regulator.
31.11 Indemnity. You indemnify Nexera in respect of any claim, investigation or penalty arising from your handling of Fan Data after it leaves the Platform, in accordance with clause 37.
31.12 Survival. This clause continues to apply to Fan Data you hold after your account is closed, for as long as you hold it.
32. Exclusive content, drops, sales windows and bundles
32.1 You control availability. You decide what Exclusive Content to offer, which Products unlock it, when a Drop goes live, and how long a Sales Window lasts. Once published, these are representations to Fans and you must honour them.
32.2 Bundles. You are responsible for the accuracy of Bundle contents. Where a Bundle includes both music and access to Exclusive Content, you must make clear what is included and for how long.
32.3 Community access. Where a purchase unlocks Fan Chat or Community Feed access, you are responsible for moderating your community and for the content you post to it. Clause 9 applies to you as it applies to Fans.
32.4 Changes. You may reschedule a Drop or extend a Sales Window. You may not shorten an advertised Access Period or remove access a Fan has already paid for, except as permitted by clause 30.7.
33. Sales data and chart reporting
33.1 We do not currently report to chart bodies. Nexera is not an accredited information provider to ARIA, Recorded Music NZ or any other chart body, and we do not currently report your sales to them. Sales made through the Platform should not be assumed to count towards any chart.
33.2 If that changes. If we begin reporting sales data to a chart body, we will tell you before it starts and explain what will be reported. At that point you authorise us to report Product metadata, price, volume, territory and purchase validation data relating to your sales.
33.3 Integrity. Whether or not we report to a chart body, you must not manipulate sales data, including through self-purchasing at scale, coordinated bulk purchasing designed to distort reporting, or purchases funded by you or on your behalf. If we find manipulation we may withhold payouts pending investigation and close your account.
34. Collaborators and revenue splits
34.1 What a split does. You can allocate a percentage of your earnings from a particular Product to one or more Collaborators - a co-writer, producer, featured artist, band member or anyone else you choose. Splits are set per Product, not per account, so the same Artist can have different Collaborators and different percentages on different releases. Once a Collaborator accepts, their share is paid to them directly and automatically on every future sale of that Product. You do not have to forward money yourself.
34.2 Only you can set one up. Splits are created, edited and removed by the Artist who owns the Product. A Collaborator can accept an invitation, decline it, or later be removed from a split. A Collaborator cannot create a split, add themselves to one, or change a percentage.
34.3 You configure it. We execute it. We do not verify a split against any agreement, we do not know what you and your Collaborators have agreed, and we do not assess whether a split is correct, fair or complete. We pay out exactly what you have configured. Making sure it reflects your actual agreement is your responsibility and yours alone.
34.4 How the split is calculated. Delivery charges are never split - they are paid to you in full, because you bear the cost of shipping. The Platform Fee and the other deductions in clause 27.4 are then taken from the Product price. A Collaborator’s percentage applies to what remains, not to the Gross Sale Price. You are not assigned a fixed percentage of your own: you receive everything left after the Platform Fee and all accepted Collaborator shares. Collaborator percentages must together total less than 100%, which the Platform enforces, so you always retain a share.
34.5 Worked example. This example is illustrative only.
| Item | Amount | |------------------------------------------------------|---------------------------------------------| | Product price | A$100.00 | | Delivery charge, paid to you in full and never split | A$10.00 | | Less Platform Fee at 20% of the Product price | (A$20.00) | | Earnings available to split | A$80.00 | | Collaborator at 20% of those earnings | (A$16.00) | | Your share | A$64.00, plus A$10.00 delivery = A$74.00 |
34.6 Inviting a Collaborator. You invite a Collaborator by entering their name, their email address and their percentage. You do not need any bank or payment details from them. We email them an invitation, which is valid for 14 days. If it expires, you can send another.
34.7 Nothing is owed until they accept. A Collaborator is not allocated anything, and is owed nothing, until they accept the invitation and connect their own Stripe account. Sales that happen before acceptance pay out to you in full, exactly as though the split did not exist, and they are not backdated or recalculated when acceptance happens. If you have agreed to pay a Collaborator for that earlier period, paying them is up to you.
34.8 If you are a Collaborator. Accepting an invitation makes you a user of the Platform and binds you to these Terms. You will connect your own Stripe account and complete Stripe’s verification before you can be paid. Your entitlement to a share comes from your agreement with the Artist, not from Nexera - we pay what the Artist has configured and we make no representation that it is correct or that it matches what you were promised. The Artist can change or remove your share at any time for future sales, and we will email you when they do. If you think a split is wrong, raise it with the Artist; clause 34.11 explains the limited step we can take.
34.9 Changes apply going forward only. You can change a percentage or remove a Collaborator at any time. A change applies only to Orders placed after it takes effect. Sales that have already happened are never recalculated or reversed because of an edit. We will notify an affected Collaborator by email.
34.10 Where we cannot pay a Collaborator directly. Our payment provider cannot always route funds directly to every party in a split. This mainly arises in cross-border splits - for example where more than one party is outside Australia. Where that happens, we will mark that Collaborator for manual settlement: we pay their share to you together with your own, and forwarding it to them is your responsibility. We will tell you and the Collaborator when a share is settled this way. A manual settlement share is still owed by you, and clause 34.3 still applies to the amount.
34.11 Refunds and chargebacks. If an Order is refunded, or a payment dispute is decided against the Artist, we reverse every payment made on that Order - your payout and every Collaborator payout tied to it. Nobody keeps money from a sale that was ultimately refunded. Where a reversal cannot be completed, including where a Collaborator’s balance is insufficient, you are liable for the shortfall and clause 27.9 applies. Where a share was settled manually under clause 34.10, recovering it from the Collaborator is your responsibility.
34.12 Disputes. Nexera is not a party to any agreement between an Artist and a Collaborator, and we will not decide who is entitled to what. If we receive credible notice of a genuine dispute about a split, we may suspend payment of the disputed share until both of you tell us in writing that it is resolved, or until a court or tribunal determines it. Clause 18.6 applies.
34.13 Tax. Each recipient is responsible for their own tax on their own share. We do not withhold or report on anyone’s behalf except where the law requires us to.
34.14 Our discretion. We may decline to execute a split, suspend the feature, or pay the full Net Payout to the Artist, where we reasonably suspect fraud or misuse, where a configuration appears to be an obvious error, where a Collaborator’s account is suspended or closed, or where we are required to by law or by our payment provider.
34.15 Indemnity. The Artist indemnifies Nexera against any claim arising from a split they configured, including a claim by a Collaborator or a person invited as one, and including a claim that a split was incorrect, incomplete, unauthorised, or paid to the wrong person. Clause 37 applies.
35. Distribution
35.1 Not included. These Terms cover selling through Nexera only. Nexera does not distribute your music to streaming services or download stores. If we make a distribution service available in future, separate terms will apply and you will need to accept them before using it.
36. NFC-enabled and connected products
36.1 Additional terms may apply. Where Nexera makes physical products with embedded NFC tags or similar technology available, additional terms will apply covering tag provisioning, the digital experience linked to a tag, what happens when the physical item changes hands, and what happens if the linked experience is discontinued.
37. Artist indemnity and additional warranties
37.1 Indemnity. In addition to clause 17, you indemnify Nexera and its officers, employees and contractors against loss, liability, cost and expense (including reasonable legal costs) to the extent arising from: a claim that your Artist Content infringes any person's intellectual property, moral rights, privacy or rights of publicity; your breach of clause 24, 25, 26, 30 or 31; a claim by a collecting society, publisher, producer, performer, songwriter, union or other rights holder in respect of your Artist Content or your sales; your handling of Fan Data, including any privacy or electronic messaging complaint, investigation or penalty; your failure to fulfil an Order or to comply with consumer law; any dispute between you and a collaborator, label, band member or other third party about ownership or revenue; and any event you organise.
37.2 Limits. Clauses 17.2 and 17.3 apply to this indemnity.
37.3 Additional warranties. You warrant that you have full power and authority to enter into these Terms, that you are not party to any agreement that would prevent you performing them, and that all tax and payment information you give us is accurate and current.
37.4 Survival. The warranties and indemnities in Part II survive termination in relation to any claim arising from events that occurred while you were using the Platform, or from Fan Data you continue to hold.
38. Suspension, termination and leaving Nexera
38.1 Removing content. We may remove or disable a Product where we receive a credible infringement complaint, where it breaches these Terms or the law, or where we are required to by a court or regulator.
38.2 Suspension. We may suspend your account or your payouts where we reasonably suspect fraud, manipulation of sales data, misuse of Fan Data, a serious or repeated breach, or where an unusually high rate of chargebacks or consumer complaints indicates a real problem. Clause 16.3 applies.
38.3 Leaving. You can leave Nexera at any time, and we will not make it difficult. Because closing a storefront affects Fans who have bought from you, physical orders that may still be in transit, pre-orders not yet delivered and payouts still to settle, closures are handled by our team rather than by a button. Email support@nexera.music and ask to close your storefront. We will acknowledge your request within two business days and complete the closure within 10 business days, unless there are fulfilled Orders, an unresolved customer complaint or a payout still to settle - in which case we will finish as soon as those are resolved and keep you updated. We will not ask you to justify the decision, and we will not make closure conditional on anything other than resolving those matters.
38.3A Your data is not held hostage. You can export your catalogue, product data, sales history and Fan data yourself from Backstage at any time, before, during or without a closure request. You do not need our assistance or approval to do it. If an export fails for technical reasons we will provide the data another way within a reasonable time.
38.4 Your fans. Fans who have already purchased retain access for the Access Period they paid for, and clause 23.5 applies. Fan Data you exported before closing remains subject to clause 31 for as long as you hold it - closing your account does not release you from those obligations.
38.5 Final payout. We will pay amounts owing to you in the ordinary course, subject to any hold under clause 28.4 and any set-off under clause 27.9.
